Terms of Service

1. Acceptance of Terms

By accessing or using Spendics (“the Service”), you agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy. If you do not agree, do not use the Service.

These Terms apply to all visitors, users, and others who access the Service. “You” refers to the individual or the entity on whose behalf you are using the Service.

2. Description of Service

Spendics is a software-as-a-service platform that connects to your business bank accounts via Plaid (read-only), analyzes transaction history, and generates a report identifying recurring software subscriptions, potential savings, and upcoming renewals.

All findings and savings estimates are for informational purposes only. Spendics does not provide financial, legal, or accounting advice.

3. Eligibility and Account Registration

To use Spendics you must:

• Be at least 18 years of age
• Have authority to connect any bank accounts you link to the Service (i.e., you are an authorized account holder or have explicit permission from the account holder)
• Provide accurate registration information
• Not be prohibited from receiving services under applicable law

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

4. Subscriptions and Billing

Spendics offers a free tier and paid subscription plans (Core and Pro). Paid plans are billed monthly in advance.

• Free trial — paid plans include a 14-day free trial. You will not be charged until the trial ends. You may cancel at any time before the trial ends without being billed.
• Cancellation — you may cancel your subscription at any time from Settings → Billing. Access continues until the end of the current billing period; there are no refunds for partial periods.
• Price changes — we will provide at least 30 days' notice before changing subscription prices. Continued use after the effective date constitutes acceptance.
• Taxes — prices exclude applicable taxes, which will be added where required by law.

All billing is processed by Stripe. We do not store credit card numbers.

5. Permitted Use and Restrictions

You may use the Service for lawful business purposes only. You agree not to:

• Connect bank accounts you are not authorized to access
• Reverse-engineer, decompile, or attempt to extract the source code of any part of the Service
• Use the Service to build a competing product or to benchmark against competing products without our written consent
• Scrape, data-mine, or use automated means to access the Service beyond normal use
• Attempt to gain unauthorized access to any system or network associated with the Service
• Violate any applicable law, regulation, or third-party right

6. Third-Party Services

The Service integrates with third-party providers including Plaid (bank connectivity), Stripe (payments), Firebase (infrastructure), and Resend (email). Your use of those integrations is also subject to each provider's terms and privacy policies.

Spendics is not responsible for the availability, accuracy, or policies of third-party services.

7. Data and Privacy

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference.

You retain ownership of your data. By connecting your accounts, you grant Spendics a limited, read-only license to retrieve and process your transaction data solely to provide the Service.

You can delete your account and all associated data at any time from Settings → Profile.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. Savings estimates are approximations based on historical data and may not reflect actual savings achievable.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SPENDICS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO SPENDICS IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms or applicable law. You may terminate your account at any time by deleting it in Settings.

Upon termination, your right to use the Service ceases immediately. Sections 8, 9, and 11 survive termination.

11. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law provisions. Any dispute arising out of or relating to these Terms shall first be attempted to be resolved informally by contacting us at legal@spendics.com. If informal resolution fails within 30 days, disputes shall be resolved by binding arbitration under the rules of the American Arbitration Association.

You agree to resolve disputes individually and not as part of a class action.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or an in-app notice at least 14 days before they take effect. Continued use after the effective date constitutes acceptance of the updated Terms.
